1.Acceptance of these Terms
These Terms of Service (the "Terms") govern your access to and use of the TrafficNodes website at trafficnodes.com, its marketplace, dashboards, application programming interface (API) and related services (together, the "Service"). In these Terms, "TrafficNodes", "we", "us" and "our" refer to the operator of the Service, and "you" refers to the person or organization using it.
By creating an account, continuing with Google, or otherwise accessing or using the Service, you agree to these Terms. Our Privacy Policy explains how we handle personal data and forms part of how the Service operates. If you do not agree to these Terms, do not use the Service.
Some features may be subject to additional terms presented when you use them (for example, terms shown for a specific offer, transaction or program). If additional terms conflict with these Terms, the additional terms govern that feature to the extent of the conflict.
2.Eligibility and authority
The Service is intended for business and professional use by media buyers, performance marketers, affiliate marketers, agencies and similar professionals. You may use the Service only if you are at least 18 years old (or the age of legal majority where you live, if higher) and able to form a binding contract.
If you use the Service on behalf of a company or other organization, you represent that you have authority to bind that organization to these Terms, and "you" includes that organization.
You may not use the Service if you are prohibited from doing so under applicable law, including applicable sanctions, export-control or trade-restriction laws, or if we have previously suspended or terminated your access for a violation of these Terms.
3.Your TrafficNodes account
You can create an account with an email address and password, or by continuing with Google. Every account starts as a buyer account. Selling is available only after a separate seller application has been reviewed and approved.
- Provide accurate, current information and keep it up to date.
- Keep your password, sessions and API tokens confidential, and do not share your account or its credentials with others.
- You are responsible for activity that occurs under your account, except to the extent it results from our own failure to apply reasonable security measures.
- Tell us promptly at support@trafficnodes.com if you believe your account or credentials have been compromised.
We may refuse registration, require additional verification, or decline to approve a seller application at our reasonable discretion, including for trust, safety, fraud-prevention or legal-compliance reasons.
4.Description of the Service
TrafficNodes provides a marketplace and supporting tools for digital advertising assets and infrastructure. Each tradable asset is presented as a "Node". Depending on the features available to your account, the Service may include:
- marketplace discovery, search, filters and seller profiles;
- Node listings and Node Passports (structured dossiers describing a Node);
- Node Scores, verification indicators, Node History and other marketplace intelligence;
- bundles, buyer requests, offers and watchlists;
- order, transfer, dispute and account-balance workflows;
- network, stack, workflow, template, integration, team and API features; and
- informational content such as guides, research and articles.
The Service is evolving. Some features are labeled as previews, simulations or tests, and some features are available only to certain accounts. A feature's label and the terms shown with it describe what it actually does; do not rely on a feature beyond that description.
5.TrafficNodes' role as a marketplace
TrafficNodes is a technology marketplace and intermediary that connects independent buyers and sellers. Unless a listing or transaction expressly states otherwise, TrafficNodes is not the seller, owner, operator or manufacturer of the Nodes listed by sellers, and is not a party to the underlying agreement between a buyer and a seller for a Node.
- Sellers are solely responsible for their listings, for the Nodes and services they offer, and for performing what they promise.
- Buyers are responsible for deciding whether a Node is suitable for them and for how they use it.
- TrafficNodes provides the venue, tools, structure and decision-support information, and may operate workflows (such as transfer steps or dispute handling) to help transactions proceed in an orderly way. Operating those workflows does not make TrafficNodes the seller or a guarantor of either party's performance.
TrafficNodes does not act as your agent, broker, fiduciary, legal adviser or platform-policy adviser, and presenting marketplace information does not constitute legal, regulatory, tax, financial or platform-compliance advice.
6.Nodes, listings, Node Passports and Node Scores
Information about a Node can come from three different sources, and you should read it with that in mind:
- Seller-provided information — descriptions, metrics, history, assets included, transfer terms and other representations a seller makes about their own Node. The seller is responsible for its accuracy.
- Platform-generated information — Node Scores, verification indicators, Node History entries, rankings, comparisons and other signals that TrafficNodes calculates or records from the data available to it.
- Third-party information — data that originates from external platforms, services or public sources, which TrafficNodes does not control.
Node Scores, Node Passports, verification indicators, seller metrics, historical data, rankings and other marketplace intelligence are informational, decision-support signals based on the data available at the time. They are not guarantees, warranties, certifications or promises of any future outcome. A verification indicator means only that the specific check it describes was performed on the information available; it does not mean that every claim in a listing, every seller or every Node has been independently or manually verified.
Scores and indicators can change as information changes, and the methods used to calculate them may be updated. Historical performance of a Node, a seller or a category does not predict future performance.
7.Third-party platforms and dependency risk
Many Nodes are digital advertising assets or infrastructure whose usefulness depends on external platforms and services — for example advertising networks, social networks, app stores, search engines, hosting and domain providers, payment providers and analytics services ("Third-Party Platforms"). TrafficNodes does not control Third-Party Platforms. At any time, and without notice to TrafficNodes or to you, a Third-Party Platform may:
- change its policies, terms, eligibility rules or enforcement practices;
- change its APIs, technical behavior, pricing or features;
- restrict, review, limit, suspend or close accounts, assets or properties;
- reduce reach, delivery, functionality or monetization; or
- discontinue a product or service entirely.
Accordingly, unless a specific, binding term of a particular transaction expressly states otherwise, TrafficNodes does not guarantee any Node's availability, lifespan, eligibility, compatibility, reach, advertising capability, account standing, future status, performance, profitability or continued acceptance by any Third-Party Platform. The risk that a Third-Party Platform takes action affecting a Node after you acquire it is allocated between buyer and seller by the terms of their transaction and by applicable law — not assumed by TrafficNodes.
You are responsible for understanding and complying with the terms and policies of every Third-Party Platform that applies to your activity. Nothing in the Service grants you any right to use a Third-Party Platform in a way its own terms do not permit, and TrafficNodes does not represent that any particular Node, transfer or use case is permitted by any Third-Party Platform.
8.Buyer responsibilities and due diligence
Before you make an offer, place an order or accept a transfer, you are responsible for your own due diligence. In particular, you agree to:
- review the Node Passport, listing details, seller profile and any transaction terms carefully;
- assess whether the Node is suitable for your intended purpose, and verify any requirement that matters to you;
- ask the seller for any information you need before committing, and not rely on assumptions;
- understand the dependency risks described in Third-party platforms and dependency risk;
- comply with applicable law and with the terms and policies of every relevant Third-Party Platform when you acquire and use a Node;
- maintain appropriate security over anything transferred to you, including changing credentials and access where appropriate; and
- obtain your own legal, tax, regulatory or platform-policy advice where you need it.
9.Seller obligations and representations
If you are approved to sell, you represent, warrant and agree, for every listing, offer and transfer you make, that:
- you have the lawful right and authority to list, sell, transfer or otherwise provide the Node and everything included with it;
- the Node was not stolen, compromised, fraudulently obtained, or obtained or held in breach of any law or third-party right, and you do not knowingly offer anything that is;
- your listing and every representation you make are accurate, complete in all material respects and not misleading, and you do not conceal material defects, restrictions, policy history or known risks;
- your listing, and the Node itself, do not infringe or misappropriate any intellectual-property, privacy or other right of any third party;
- you will not insert or leave malicious code, back doors, hidden access, tracking or other unauthorized access mechanisms in anything you transfer;
- you will comply with applicable law, including consumer-protection, data-protection, sanctions and tax law, and with the terms of any Third-Party Platform that applies to the Node; and
- you will keep your listings current, update or withdraw a listing promptly when material information changes, and perform the transfer and any other obligations you commit to.
To protect buyers and marketplace integrity, TrafficNodes may review listings and sellers, request evidence of ownership, authority or accuracy, and reject, edit the presentation of, pause, delist or restrict any listing or seller account, as described in Moderation, investigations and enforcement.
10.Orders, transfers and commerce features
The Service includes workflows for offers, orders, transfers, disputes, licenses, subscriptions and account balances. At the date of these Terms, no payment provider is connected to the Service and the Service does not process real payments. All balances, escrow states, ledger entries, payouts and similar amounts shown in the Service are simulated or test records, whatever wording the interface uses (including statements that a payment or funds are "held in escrow"), until TrafficNodes publishes separate payment terms. They are not deposits, stored value, money held on your behalf or a payment obligation of TrafficNodes.
References in the Service to escrow or protected transfers describe the structure of the platform's transaction workflow. TrafficNodes does not currently hold funds in escrow, act as an escrow agent, provide insurance, or offer a buyer-protection guarantee or refund guarantee. If TrafficNodes introduces real payment processing, escrow, refunds or buyer protection, the specific terms for those services will be presented to you before they apply, and they will govern those services.
Any arrangement a buyer and seller make between themselves, including any payment made outside the Service, is solely between them. TrafficNodes is not responsible for payments, transfers or performance that take place outside the Service.
Where the Service provides a dispute workflow, TrafficNodes may review the information submitted and update the status of an order, transfer or listing on the platform. Those platform decisions are made to operate the marketplace; they are not a judicial or arbitral determination, and they do not limit any right either party has under applicable law.
11.Fees and taxes
Our pricing page describes the platform's current, indicative fee model. Because no payment provider is connected, TrafficNodes does not currently collect fees. Before any fee is actually charged, the applicable fees and payment terms will be shown to you, and fees will apply only to transactions made after they take effect.
Buyers and sellers are each responsible for determining and meeting their own tax obligations (including income, sales, value-added and similar taxes) arising from their activity on the Service, except for taxes that applicable law requires TrafficNodes itself to collect or pay.
12.Acceptable use and prohibited conduct
TrafficNodes is for legitimate digital marketing assets and infrastructure only. You must not use the Service, or list, offer, request, buy or transfer anything through it, in connection with:
- fraud, theft, deceptive practices, money laundering, terrorist financing or sanctions evasion;
- stolen, hijacked, compromised, phished or otherwise unlawfully obtained accounts, credentials, data or assets, or trading in them;
- unauthorized access to any system, account or data, credential theft, or circumvention of security controls;
- malware, phishing, spyware or any other malicious code or technique;
- impersonation, identity theft, or misrepresenting your identity or affiliation;
- spam or unsolicited messaging where unlawful, or the abuse of any communications channel;
- infringement or misappropriation of intellectual-property, privacy, publicity or other rights;
- illegal surveillance, unlawful collection of personal data, or harassment and abuse of any person;
- unlawful discrimination, or unlawful political or electoral manipulation;
- compromising, defrauding or manipulating any Third-Party Platform, its users or its advertising systems; or
- any other activity that is unlawful where you or the counterparty are located.
You must also not, except where applicable law expressly permits it despite this restriction:
- interfere with, disrupt, overload or attempt to gain unauthorized access to the Service or its infrastructure;
- probe, scan or test the security of the Service without our prior written authorization;
- bypass or attempt to bypass rate limits, access controls, verification steps or other technical restrictions;
- scrape, crawl or extract data from the Service by automated means in a way that violates access controls, that materially burdens or harms the Service, or that is otherwise not permitted by these Terms;
- reverse engineer, decompile or disassemble the Service, to the extent such restriction is enforceable under applicable law;
- create accounts by automated means, operate fake accounts, or share, sell or resell account access where not permitted;
- manipulate Node Scores, reviews, rankings, reputation or marketplace signals; or
- circumvent the Service to avoid its transaction workflow or fees after being introduced to a counterparty through it, where the applicable transaction terms prohibit this.
These restrictions do not prohibit legitimate use of features the Service provides for automation, such as the documented API used within your account's permissions and published limits.
13.API access and automation
Where available, you may create API tokens to access the Service programmatically in accordance with our API documentation. API tokens act on behalf of your account: keep them secret, use them only within the scopes and limits we publish, and revoke any token you believe is exposed. We may change, limit or withdraw API access, including to protect the Service or other users.
14.Third-party services, terms and trademarks
The Service may link to, display information from, or interoperate with third-party websites and services, including sign-in with Google. Your use of a third-party service is governed by that service's own terms and privacy policy, and TrafficNodes is not responsible for third-party services.
TrafficNodes is not affiliated with, sponsored by or endorsed by any advertising, social, search, app-store or other platform provider unless we expressly say so. Third-party names, logos and trademarks belong to their respective owners. Their appearance in the Service — including in listings, categories and content — is for identification only and does not imply sponsorship, affiliation or endorsement.
15.TrafficNodes intellectual property
The Service and its contents — including the TrafficNodes name, logos and branding, the platform's design and user interface, the presentation of Node Passports, Node Scores and marketplace data, proprietary scoring and verification methodologies, software, documentation and original content — are owned by or licensed to TrafficNodes and are protected by intellectual-property laws. This does not include content that belongs to users or third parties.
Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable right to access and use the Service for its intended purpose. No other rights are granted, and you may not copy, modify, distribute, sell or create derivative works from the Service except as these Terms or applicable law permit.
16.Your content and the license you grant us
"User Content" means anything you submit to the Service, such as listings, Node Passport details, buyer requests, offers, profile information, reviews, messages, files and seller-application materials. You keep whatever rights you have in your User Content.
You grant TrafficNodes a worldwide, non-exclusive, royalty-free license to host, store, reproduce, process, adapt for display and formatting, translate, display and distribute your User Content, only as reasonably necessary to operate, provide, secure, improve and promote the Service (for example, displaying a listing in marketplace search, showing it in a localized interface, or including it in a Node Passport). This license continues for as long as your User Content remains on the Service, and afterwards only to the extent needed for backups, legal compliance, dispute resolution, and records of transactions and moderation.
You are responsible for your User Content and represent that you have the rights needed to submit it and to grant this license, and that it does not violate these Terms or applicable law.
17.Feedback
If you send us suggestions, ideas or other feedback about the Service, we may use it without restriction or obligation to you. This does not give us ownership of your User Content or any confidential information you provide in a transaction.
18.Moderation, investigations and enforcement
To keep the marketplace safe, trustworthy and lawful, TrafficNodes may, at its reasonable discretion: review accounts, listings, requests, transactions and content; request information, documents or other evidence; investigate suspected violations; and remove, reject, pause, delist, restrict or label content and listings. We may also preserve information and cooperate with law-enforcement authorities, regulators or affected parties where required or permitted by law.
We do not undertake to monitor everything on the Service, and the absence of action against particular content or conduct does not mean we approve of it. Where applicable law requires, we will give you a statement of reasons for a moderation decision and a way to contest it.
19.Suspension and termination
You may stop using the Service at any time and may ask us to close your account using the contact details in Contact.
We may suspend, limit or terminate your access to the Service, or to particular features, if we reasonably believe that: you have breached these Terms or applicable law; your account is involved in fraud, abuse or a security risk; it is needed to protect other users, Third-Party Platforms or the integrity of the marketplace; or it is required to comply with law, sanctions or a request from a competent authority. Where reasonably practicable and lawful, we will tell you the reason. We may act without advance notice where there is an urgent security, fraud or legal risk.
When access ends, the provisions of these Terms that by their nature should survive — including those on intellectual property, User Content licenses needed for retained records, disclaimers, limitation of liability, indemnification and governing law — will survive. Termination does not affect rights or obligations already accrued, including obligations between buyers and sellers in transactions already in progress.
20.Security
We use reasonable technical and organizational measures designed to protect the Service and your account. No online service can be guaranteed to be completely secure, and you are responsible for using a strong, unique password, protecting your devices, sessions and API tokens, and telling us promptly about any suspected unauthorized use. If you discover a security vulnerability, please report it to support@trafficnodes.com and do not exploit or disclose it before we have had a reasonable opportunity to address it.
21.Disclaimers
To the maximum extent permitted by applicable law, the Service is provided "as is" and "as available", and TrafficNodes disclaims all warranties and conditions, whether express, implied or statutory, including implied warranties of merchantability, fitness for a particular purpose, title and non-infringement, except those expressly stated in these Terms or in specific binding transaction terms.
Without limiting the above, and to the same extent, TrafficNodes does not warrant or guarantee that:
- the Service will be uninterrupted, timely, error-free or free of harmful components;
- marketplace information, listings, Node Passports, Node Scores, rankings or history are complete, accurate or current — this information may change at any time;
- any seller, buyer, listing or Node is legitimate, accurately described or suitable for your purpose, beyond the specific checks the Service describes;
- any Node will achieve any particular performance, revenue, profitability or other outcome; or
- any Third-Party Platform will continue to accept, support or permit any Node, asset, account or workflow.
Nothing in these Terms excludes or limits any warranty, condition or right that cannot be excluded or limited under applicable law, including mandatory consumer-protection rights.
22.Limitation of liability
To the maximum extent permitted by applicable law, TrafficNodes and its operators, personnel, suppliers and licensors will not be liable for any:
- indirect, incidental, special, consequential, exemplary or punitive damages;
- loss of profits, revenue, business, contracts, anticipated savings, goodwill or reputation;
- loss or corruption of data, or business interruption;
- losses caused by the actions or omissions of any Third-Party Platform, including the suspension, restriction or loss of any account, asset or Node; or
- losses caused by the acts, omissions, misrepresentations or misconduct of other users, including buyers and sellers, that are outside TrafficNodes' reasonable control,
arising out of or relating to the Service or these Terms, whether in contract, tort (including negligence), statute or otherwise, even if advised of the possibility of such damages.
To the maximum extent permitted by applicable law, TrafficNodes' total aggregate liability arising out of or relating to the Service or these Terms will not exceed the greater of (a) the total fees you actually paid to TrafficNodes for the Service in the twelve (12) months before the event giving rise to the liability, and (b) one hundred US dollars (USD 100). Amounts paid between buyers and sellers for Nodes are not fees paid to TrafficNodes.
Nothing in these Terms excludes or limits liability that cannot be excluded or limited under applicable law, including liability for fraud or fraudulent misrepresentation, for death or personal injury caused by negligence, for wilful misconduct or gross negligence where the law does not permit such exclusion, or under mandatory consumer-protection law. Where applicable law does not allow a limitation in this section, the limitation applies only to the extent permitted.
23.Indemnification
To the extent permitted by applicable law, you agree to defend, indemnify and hold harmless TrafficNodes and its operators and personnel from and against third-party claims, and the resulting losses, damages, liabilities, costs and reasonable legal fees, to the extent they arise from:
- your listings, User Content or the Nodes you offer or transfer;
- your breach of these Terms or of your representations in them;
- your violation of applicable law or of any Third-Party Platform's terms;
- your infringement or violation of any third party's rights; or
- your fraud, wilful misconduct or malicious conduct.
This obligation does not apply to the extent a claim results from TrafficNodes' own breach of these Terms, negligence or wilful misconduct. We will notify you of a claim within a reasonable time, give you reasonable control of its defense where appropriate, and not settle it in a way that admits fault on your behalf without your consent. If you use the Service as a consumer, this section applies only to the extent permitted by the law that protects you.
24.Mandatory rights
Some jurisdictions give consumers and other users rights that cannot be waived or limited by contract. Nothing in these Terms is intended to remove or limit those rights. If any part of these Terms is invalid or unenforceable because of such a right, that part applies only to the extent permitted and the rest of these Terms remain in effect.
25.Changes to the Service
We may add, change, suspend or discontinue features, or the Service as a whole, for example to improve it, to address security or legal requirements, or because a feature is no longer viable. Where a change materially and adversely affects a feature you actively rely on, we will give reasonable advance notice where practicable, except in urgent security, fraud or legal situations.
26.Events beyond reasonable control
TrafficNodes is not responsible for a delay or failure to perform caused by events beyond its reasonable control, such as widespread internet, hosting, infrastructure or third-party-provider outages, actions of governments or authorities, war, terrorism, civil unrest, natural disasters, epidemics, or widespread outages or policy changes of Third-Party Platforms. This does not excuse failures that reasonable precautions within our control would have prevented, and it does not affect rights that applicable law does not permit to be limited.
27.Changes to these Terms
We may update these Terms from time to time. The "Last updated" date at the top shows when they last changed. If a change is material, we will give reasonable notice — for example by a notice in the Service or by email — before it takes effect, unless the change is required sooner by law or to address a security or fraud risk. Changes do not apply retroactively to transactions already in progress. If you continue to use the Service after the changes take effect, the updated Terms apply; if you do not agree, you should stop using the Service and may close your account.
28.Governing law and disputes
If you have a concern about the Service, please contact us first at support@trafficnodes.com — most issues can be resolved quickly and informally. You agree to give us at least thirty (30) days to try to resolve a dispute informally before starting formal proceedings, unless urgent relief is needed or applicable law provides otherwise.
These Terms, and any dispute arising out of or relating to them or to the Service, are governed by the law that applies under applicable conflict-of-laws rules, and disputes may be brought before the courts that have jurisdiction under applicable law. If TrafficNodes specifies a governing law or forum in an updated version of these Terms, that specification will apply from the effective date of the update. In every case, if you are a consumer, you keep the protection of the mandatory laws of your country of residence and any right to bring proceedings in its courts.
Disputes raised through the Service's dispute workflow are reviewed by TrafficNodes as described in Orders, transfers and commerce features. Any other dispute between a buyer and a seller about a Node or a transaction is between those parties.
29.General provisions
- Severability. If any provision of these Terms is held invalid or unenforceable, it will be enforced to the maximum extent permitted and the remaining provisions will remain in full effect.
- No waiver. Our failure or delay in enforcing any provision is not a waiver of our right to enforce it later.
- Assignment. You may not assign or transfer these Terms or your account without our prior written consent. We may assign these Terms in connection with a merger, acquisition, reorganization or sale of the business or assets of the Service, or to an entity that takes over its operation, provided your rights under these Terms and applicable law are not reduced.
- Entire agreement. These Terms, together with the Privacy Policy and any additional terms that apply to a specific feature or transaction, are the entire agreement between you and TrafficNodes regarding the Service and supersede prior agreements on the same subject.
- No third-party beneficiaries. Except as expressly stated, these Terms do not give any right to anyone other than you and TrafficNodes.
- Notices. We may give you notices through the Service or to the email address associated with your account. You may give us notices at support@trafficnodes.com.
30.Contact
Questions about these Terms, account closure requests and legal notices can be sent to support@trafficnodes.com. You can also find our contact options on the contact page. For questions about personal data, see our Privacy Policy.
